Directors Of Megastar Resources Sdn. Bhd. Convicted For Various Non-compliance Offences Under The Companies Act 1965


On 20th March 2015, the Magistrate at the Georgetown Magistrate’s Court, Puan Catherine Nicholas had convicted the directors of Megastar Resources Sdn Bhd after they pleaded guilty to three charges each under Section 165 of the Companies Act 1965 for offences committed in 2010, 2011 and 2012.

The company directors namely, Sim Chung Seng, 55,and Teoh Tiang Hoe, 36, were sentenced to a fine totaling RM3,000 each, in default two months imprisonment. Both directors had paid the fines.

A default penalty of RM30.00 per day for each charge was also imposed upon the company if it fails to lodge its Annual Returns and Audited Accounts within three months from the date of sentencing.

In their mitigation, the directors had through their counsel, Mr Kek Boon Wei, appealed to the Court for a minimum fine on the grounds that they were first offenders and the company is in the process of preparing its statutory documents for lodgment with the Registrar. Encik Muhammad Nasrizal Saidin of SSM Pulau Pinang prosecuted on behalf of SSM.

SSM views the breaches committed in the above case seriously. The practice of failing to lodge statutory documents deprives the public from having access to information relating to the companies concerned and it also creates a doubt in the public mind as to its existence. Punitive action imposed by Court serves to remind company directors and their officers, the need to strictly adhere to the requirements of the Companies Act 1965.

PENGARAH-PENGARAH SYARIKAT MEGASTAR RESOURCES SDN BHD DISABITKAN BAGI KESALAHAN KETIDAKPATUHAN DI BAWAH AKTA SYARIKAT 1965

Pada 20Mac 2014, Majistret di Mahkamah Majistret Georgetown, Puan Catherine Nicholas telah mensabitkan pengarah-pengarah syarikat Megastar Resources Sdn Bhd setelah mereka mengaku salah ke atas tiga pertuduhan masing-masing di bawah Seksyen 165 Akta Syarikat 1965 bagi tahun takwim 2010, 2011 dan 2012.

Sim Chung Seng, 55, dan Teoh Tiang Hoe,36, masing-masing telah dijatuhi hukuman denda sebanyak RM3,000 setiap seorang atau penjara selama dua bulan sekiranya gagal membayar denda tersebut. Kedua-dua pengarah telah menjelaskan denda yang dikenakan.

Syarikat juga telah dikenakan penalti ingkar sebanyak RM30.00 sehari untuk setiap pertuduhan sekiranya gagal menyerahsimpan Penyata Tahunan dan Penyata Kewangan dalam tempoh 3 bulan dari tarikh hukuman dijatuhkan.

Di dalam rayuan mitigasi, tertuduh yang diwakili peguambela Encik Kek Boon Wei, telah memohon supaya dikenakan denda yang ringan memandangkan mereka adalah pesalah pertama dan syarikat kini dalam proses untuk menyediakan dokumen berkanun berkenaan untuk diserahsimpan kepada Pendaftar Syarikat. Pendakwaan dijalankan oleh Encik Muhammad Nasrizal Saidin dari SSM Pulau Pinang.

Kegagalan mematuhi kehendak Akta Syarikat 1965 yang dilakukan oleh mana-mana pengarah syarikat adalah satu perlanggaran undang-undang yang serius. Kegagalan mematuhi kehendak undang-ungang seperti memfailkan penyata tahunan beserta penyata akuan beraudit syarikat kepada Pendaftar Syarikat akan mengakibatkan orang awam tidak mendapat maklumat yang tepat dan jelas bagi menentukan kestabilan dan keukuhan sesebuah syarikat berkenaan.

Hukuman yang dijatuhkan oleh Mahkamah tersebut diharapkan memberi peringatan kepada syarikat dan pegawai-pegawai syarikat agar sentiasa mematuhi Akta Syarikat 1965.
