Thursday, 2nd April 2015: A Singaporean citizen who is also a director of Puncak Dinasti Sdn Bhd, Seeni Mohamed S/O Mohamed Eusoff, 74 years-old, had been charged for an offence under Section 364(2) Companies Act 1965 (‘CA 1965’) at Shah Alam Sessions Court.

The charge against Seeni Mohamed states that he had made a false statement through the lodgment of Form 24 in relation to the allotment of 500,000 units of ordinary shares for himself in the said company whereas no payment had been made for that allotment.

Section 364(2) CA 1965 provides punishment for 10 years imprisonment or fine of RM250, 000 or to both upon conviction.

Tuan Slamat Yahya, the Sessions Court Judge ordered Seeni Mohamed to be released on RM10, 000 bail with one surety and he is also required to report at the nearest police station every first day of the month. The case is then fixed for a mention on 6 May 2015.

The SSM prosecuting officers, Mohd Zulkhairi Kamaruzaman, Faizal Mahdi Mahmud and Mohd Iqbal Mohd Yusof appeared for the prosecution meanwhile Seeni Mohamed is represented by counsel, M. Stanislaus Vethanayagam.

PENGARAH PUNCAK DINASTI SDN BHD DIDAKWA MENGIKUT SEKSYEN 364(2) AKTA SYARIKAT 1965 KERANA MEMBUAT PENYATAAN PALSU KEPADA PENDAFTAR SYARIKAT (‘SSM’)

Khamis, 2 April 2015: Seorang pengarah syarikat Puncak Dinasti Sdn Bhd warganegara Singapura, Seeni Mohamed A/L Mohamed Eusoff, 74 tahun, didakwa di Mahkamah Sesyen Shah Alam kerana dikatakan telah melakukan kesalahan di bawah seksyen 364(2) Akta Syarikat 1965 (‘AS 1965’).

Pertuduhan yang dikenakan terhadap Seeni Mohamed adalah berkaitan dengan perbuatan membuat penyataan palsu kepada Pendaftar Syarikat (‘SSM’) melalui serahsimpan Borang 24, iaitu mengumpukkan 500,000 unit saham biasa syarikat tersebut kepada dirinya sendiri tanpa sebarang bayaran dibuat ke dalam akaun syarikat.

Kesalahan di bawah seksyen 364(2) AS 1965 memperuntukkan hukuman penjara sehingga tempoh 10 tahun atau denda sehingga RM250,000 atau kedua-duanya sekali jika sabit kesalahan.

Hakim Tuan Slamat Yahya memerintahkan Seeni Mohamed diikat jamin RM10,000 dengan seorang penjamin serta mengkehendaki beliau melaporkan diri di balai polis terdekat dengan tempat kediamannya pada setiap satu haribulan. Kes akan disebut semula pada 6 Mei 2015.

Pendakwaan kes dikendalikan oleh Mohd Zulkhairi Kamaruzaman, Faizal Mahdi Mahmud dan Mohd Iqbal Mohd Yusof, pegawai pendakwa SSM dari ibu pejabat manakala Seeni Mohamed diwakili peguam Encik M. Stanislaus Vethanayagam.
