COMPANIES (AMENDMENT OF SCHEDULES) ORDER 1986



Order 2. New Second Schedule.

The Companies Act 1965 [Act 125], which in this Order is referred to as "the Act", is amended by substituting for the Second Schedule the following new Second Schedule:

SECOND SCHEDULE

(Sections 7, 337 and 373)

TABLE OF FEES TO BE PAID TO THE REGISTRAR


1. For search as to availability of any name proposed to be used by a company, for every name search $10.00

2. On an application for the reservation of a name 25.00

3. For granting extension of time for the reservation of a name 10.00

4.For every application for consent of the Minister to use of a name by a company50.00

5.For every order of the Minister granting consent to use of a name by a company

Incorporation of a company

6. Fees to be paid to the Registrar by a company having a share capital:

    (i) for registration of a company whose nominal share capital does not exceed $25,000

    (ii) for registration of a company whose nominal share capital exceeds $25,000, the above fee of $500 with the following additional fees regulated according to the amount of nominal share capital (that is to say)-
      (a) for every $5,000 of nominal share capital or part of $5,000 after the first $25,000 up to $500,000

      (b) for every $5,000 of nominal share capital or part of $5,000 after the first $500,000 up to $1,000,000

      (c) for every $15,000 of nominal share capital or part of $15,000 after the first $1,000,000 up to $50,000,000

    (iii) On lodging notice of increase of share capital-
    an amount equal to the difference (if any) between the amount which would have been payable under this Act as increased and the amount which would have been payable under this Act on first registration by reference to its capital under this Act as increased and the amount which would have been payable under this Act by reference to its capital immediately before the increase:

      Provided that no company shall be liable to pay in respect of share capital on registration or thereafter any greater amount of fees than $65,000 taking into account in the case of fees payable on an increase of share capital after, registration, the fees paid on registration.

7.Fees to be paid to the Registrar by a company not having a share capital:

    (i) for registration of a company whose number of members as stated in the articles of association does not exceed 20

    (ii) for registration of a company whose number of members as stated in the articles of association exceeds 20 but does not exceed 100, but is not stated to be unlimited, the additional fee of $300 (with an additional $10 for every 50 members or less number than 50 after the first 100) but no company shall be liable to pay on the whole a greater fee than $1,000 in respect of its number of members taking into account the fee paid on the first registration of the company.

Section 19 licences

9. For every application to the Minister under section 19 (2) to hold lands, and other related applications.50.00

10. For every licence of the Minister empowering a company to hold lands, and other related licences. 150.00

Section 24 licences

12. For perusing memorandum or articles of a company in connection with an application for a licence under section 24. 150.00

13. For every licence of the Minister to dispense with the word "Berhad" in the name of a company.150.00


Changes after incorporation

14. For an application to the Minister to alter the memorandum or articles of a company.25.00

15. For an approval of the Minister to alter the memorandum or articles of a company. 50.00

16. For every approval of the Registrar to the change of the name of a company otherwise than a change of name directed by the Registrar under section 23 (3) or a change of name pursuant to section 24 (2).100.00

17. On lodging a copy of any special resolution altering the memorandum or articles of association of a company. 25.00

18. For the registration of a foreign company-

    (a) subject to paragraph (b), twice the appropriate fee prescribed in respect of a company registered or incorporated under Part III; and

    (b) where the foreign company has no share capital and engage in trade, commerce or industry including transportation, the maximum fee in respect of a company with share capital registered or incorporated under Part III.
19. On lodging by a foreign company of notice of increase in share capital or in the case of a foreign company not having a share capital on the lodging of notice of increase in number of members beyond its registered number-twice the prescribed fee payable on the increase in share capital or on the increase in the number of members of a company incorporated or registered under Part III.


Fees applicable to Foreign Companies

20. For search as to availability of any name proposed to be used by a foreign company, for every name search. 10.00

21. On an application for the reservation of a name of a foreign company. 25.00

22. For granting extension of time for the reservation of a name of a foreign company. 10.00

23. For every application for consent of the Minister to use of a name by a foreign company.100.00

25. For the lodgement of every memorandum of appointment or power of attorney in relation to the appointment of an agent of a foreign company. 50.00

26. On lodging a certified copy of a charter, statute or memorandum and articles or other instrument constituting or defining the constitution of a foreign company. 100.00

27. On lodging, registering, depositing or filing any other document under any Act with the Registrar by a foreign company. 25.00

28. On lodging an annual return of a foreign company. 100.00


Corporate Finance

29. On lodging any statement in lieu of prospectus. 50.00

30. On lodging any prospectus in relation to a corporation listed or seeking listing on the Stock Exchange. 1,000.00

31. On lodging any prospectus or statement required under section 90 in relation to any other corporation.250.00

32. For perusing any deed or copy of a deed under section 86.50.00

50. For each search or an inspection of a document or documents filed by or in relation to a corporation. 5.00

53. For copy and extract made and certified by the Registrar of any document in his custody - per folio of 100 words. 5.00

54. For examination and certification by the Registrar of a copy or extract of any document in his custody of which a printed or typed copy is supplied per folio of 100 words. 2.00

55. For certification of photographic copies of documents in the custody of the Registrar - for each sheet certified. 5.00


Supply of Uncertified Copies

56. For supplying any uncertified copies or extract of any document - for each sheet supplied. 1.00

57. On lodging, registering, depositing or filing any other document with or by the Registrar under any Act (where the fee is not specified in any relevant Act or regulation). 10.00
