Corporate Directors Training Programme (CDTP)

 

The Corporate Directors Training Programme (CDTP) is mooted in line with the Government’s aspirations towards achieving the objectives of K-Economy and to ensure that company directors are persons with basic knowledge of the laws and rules applicable to the entities which they chose to carry on their businesses and operations. This programme is designed to help directors better understand organisational issues and that they are cognizant of statutory and industrial developments that impact them personally and their company.

 

It is vital for directors of non-listed companies to undergo this training programme to equip themselves with the necessary knowledge. With appropriate understanding and awareness of their roles and responsibilities and corporate governance, compliance level would be greatly improved, thereby enhancing the healthy and dynamic investment environment and image of the country in the corporate world.

This programme is intended for potential, new and sitting directors and executive management. It is also highly recommended for management consultants.

 

Objectives

 

By the end of the programme, participants should be able to have a better understanding of:

  • The essential knowledge on the understanding and acceptance of roles and responsibilities of a company director.
  • The knowledge on the rights and limitations of directors with respect to proper conduct of board and general meetings
  • Understanding of corporate law and regulations and common offences committed by directors and the penalties imposed.
  • The moral and ethical obligations for good corporate governance.

The modules under the CDTP are as follows:

 

Module 1

The Roles of Responsibilities of Company Directors

Module 2

The Law & Practices for Company Meetings

Module 3

The Common Offences Committed by Company Directors Under the Companies Act 1965

Module 4

Understanding and Application of Good Corporate Governance

Licensed Secretaries training Programme (LSTP)

 

Suruhanjaya Syarikat Malaysia (SSM) has initiated efforts to conduct the Licensed Secretaries Training Program (LSTP) to enhance the knowledge, skill and competencies and encourage proper conduct amongst officers of companies.

 

Programme Objective

The main objective of this program is to instill pertinent knowledge to participants in all aspects of company secretarial practice.

 

Learning Outcome

Participants will be equipped with clear understanding of the compliance requirements which are crucial to assist them in rendering their duties according to the provisions of the Companies Act 1965 and other related regulations.

 

Who should attend?

The LSTP is specifically designed for licensed company secretaries who have been issued with licenses by the Registrar under section 139A(b) of the Companies Act 1965. It is also targeted to those who aspire to obtain the license secretary under the said section 139A(b) of the Companies Act 1965. The LSTP commenced in October 2007.

This programme is also suitable for other officers of companies who are interested to know or intend to enhance their knowledge on corporate compliance requirements, best practices and common offences committed by company secretaries in carrying out their daily tasks.

 

Upon completion of all three (3) levels of the program, participants will:

  • Acquire in-depth understanding on the roles, responsibilities and duties of a company secretary;
  • Understand skills that a good company secretary must have;
  • Identify the types of companies and fundamental principles of corporate law;
  • Have in-depth understanding about company meetings;
  • Know how to deal with directors, company officers and auditors; and
  • Understand common offences committed by company secretaries.

The LSTP comprised of three (3) levels and each level consists of two modules as listed below:

Module 1 - Roles and Responsibilities of Company Secretary

Module 2 - What Do You Need to Know About Companies?

 

LEVEL 2

Module 3 - Directors Officers and Auditors

Module 4 - What you need to know about Registered Office,

Statutory books, Statutory Returns and other

Documents?

 

LEVEL 3

Module 5 - Dealing with Company Meetings

Module 6 - Common Offences Committed by Company

Secretaries under the Companies Act 1965

 

Fee: RM200 per person per level.
